Patron Terms & Conditions
1. INTRODUCTION
Unless otherwise specifically defined herein, defined terms shall have the meanings ascribed to them in Clause 3 of these Patron Terms and Conditions. Any general or specific authorization or permission for any person (individually a “Patron” and collectively the “Patrons”) to attend any Experience, enter into and/or remain at the Venue, including, without limitation, pursuant to any Package Pass (Clause 3), is strictly subject to, and conditional upon, the Patron’s acceptance of these Patron Terms and Conditions. Patrons are strongly encouraged to read and inform themselves of these Patron Terms and Conditions. By attending any Experience, entering into and/or remaining at the Venue, each Patron is deemed to have accepted and understood as binding on them all Patron Terms and Conditions and any accompanying risks, obligations, and responsibilities. Any Patron who breaches these Patron Terms and Conditions may be liable to penalty and expulsion from an Experience and/or the Venue.
2. SALE AND ATTENDANCE SUMMARY
2.1 The Venue is an entertainment venue, and certain Experiences at the Venue may be noisy and/or involve strobe lighting. Attendance is at the Patron’s own risk. By attending any Experience, purchasing a Package Pass for an Experience, entering into and/or remaining at the Venue, each Patron is deemed to have accepted all applicable terms and conditions and any accompanying risks, obligations and responsibilities (Clause 4.4).
2.2 If a Patron is attending an Experience and is required to hold a Package Pass, the Patron is reminded that the purchase of a Package is final. Except as provided in Clause 8.2, Packages are non-refundable.
2.3 PAR-T INTERNATIONAL reserves the right to inspect and refuse bags or other items to be brought into the Venue (Clause 9.2).
2.4 In the event of adverse weather conditions, access to the Venue may be denied and some Experiences delayed or cancelled at PAR-T INTERNATIONAL’s sole discretion and at short notice (Clause 11).
2.5 In relation to each Experience, PAR-T INTERNATIONAL reserves the right to, without notice and in any circumstances, add, withdraw, reschedule or substitute any particular person, group, act, team or personality from the Experience and to amen Package Pass prices and audience capacity (Clause 11).
2.6 PAR-T INTERNATIONAL reserves the right, with reasonable cause, to refuse entry to any Patron or remove any Patron from the Venue (Clause 4.6).
2.7 Restrictions apply to items which Patrons bring into the Venue, which include professional video cameras and photography cameras, and food and beverage (Clause 9.3 and Clause 12.2).
3. DEFINITIONS
- Associated Entities means the owners of any Venue, the owners of the Experience, engineers, consultants, contractors and/or suppliers appointed by PAR-T INTERNATIONAL or any other suppliers, organisers, promoters, entities and/or any persons involved in the organisation, conduct and promotion of activities and Experiences at the Venue.
- Authorized Agents are persons to whom PAR-TINTERNATIONAL has granted the right to sell Package Passes.
- dB Hospitality means a hospitality concept co-developed by PAR-TINTERNATIONAL and AIM Events Limited, Reg. No. 631717, Block 3,
Harcourt Centre, Harcourt Road, Dublin 2, Ireland. - Experience means any dB Hospitality event, activity or function held or to be held at the Venue.
- Package Pass refers to any physical or electronic confirmation instrument issued by or for PAR-TINTERNATIONAL which permits participation in the Experience.
- PAR-T INTERNATIONAL means International – FZCO incorporated under the laws of the United Arab Emirates having its registered office at 21487 – 001, IFZA Business Park DDP, Dubai, United Arab Emirates.
- Patron(s) has the meaning given in the introduction to these Patron Terms and Conditions.
- Patron Terms and Conditions means these terms and conditions as set out in this document may be amended, modified, or supplemented from time to time, including, but not limited to, publication on the Website.
- Police means any local (or federal) police force with jurisdiction over the Venue and/or an Experience or any other body tasked with providing security arrangements for the Venue and/or an Experience.
- Venue means all areas where an Experience is organized by PAR-TINTERNATIONAL and the Associated Entities.
- Website means the official dB Hospitality website, www.dbhospitality.org.
4. GENERAL CONDITIONS
4.1 These Patron Terms and Conditions are available from the Website and on each invoice issued to a Patron.
4.2 For all Experiences, no entry will be permitted to the Venue to any person below Twenty-One (21) years old unless otherwise stated and noted on the Website.
4.3 It is the Patron’s responsibility to read, understand and comply with these Patron Terms and Conditions.
4.4 By attending any Experience, entering into and/or remaining at the Venue, each Patron is deemed to have accepted these Patron Terms and Conditions and any accompanying risks, obligations, and responsibilities. Entering into and/or remaining at the Venue is
solely at the Patron’s own risk, and that Patron assumes such risk. Each Patron, to the extent permitted by law, hereby excludes, releases and forever discharges PAR-T INTERNATIONAL and the Associated Entities and each of them, and all other persons
involved in the organization, conduct and promotion of the applicable Experience and/or the maintenance, management and organization of the Venue, from any and all liability for claims, loss, damage, cost or expenses arising from any personal injury or death (whether arising from negligence (but excluding gross negligence) or otherwise) and/or arising from or connected with the Patron’s participation in an Experience at the Venue.
4.5 Without limiting any other release or limitation of liability contained in these Patron Terms and Conditions, PAR-T INTERNATIONAL and the Associated Entities will not be liable for any indirect or consequential loss (including, but not limited to, loss of earnings), suffered by any Patron(s) or caused by any acts or omissions of PAR-TINTERNATIONAL or the Associated Entities, their directors, employees, agents and contractors.
4.6 PAR-T INTERNATIONAL reserves the right, with reasonable cause (which includes failure to comply with any of these Patron Terms and Conditions) to refuse entry to any Patron(s) or remove any Patron(s) from the Venue.
4.7 Each Patron is solely responsible for complying with all immigration, customs, and legal requirements of any relevant authority for entry into the United Arab Emirates and the Emirate of Abu Dhabi (including, but not limited to, obtaining an entry visa or permit of any kind). In relation to an Experience, no exchanges, refunds or replacements of Package Passes will be made due to a Patron’s failure to comply with such requirements or his or her inability to obtain (or his or her denial, cancellation, expiration or revocation of) an entry visa or permit, for any reason whatsoever. Each Patron is advised to review all immigration, customs, and legal requirements for entry into the United Arab Emirates and the Emirate of Abu Dhabi prior to purchasing any Package Pass for an Experience.
4.8 No person may use the name of an Experience or part thereof (nor any abbreviation or foreign language version thereof) nor any logo or graphic device of or relating to an Experience for any commercial purpose whatsoever without the prior written consent of PAR-T INTERNATIONAL first being obtained exercisable in PAR-T INTERNATIONAL’s sole discretion.
5. RESTRICTIONS AGAINST ON-SELLING AND UNAUTHORISED PACKAGE PASSES
5.1 Package Passes are strictly non-transferable and not for resale. No Package Pass shall be sold or offered for sale for any form or fee or reward without the prior written consent of PAR-T INTERNATIONAL. Each Patron must not, without the prior written consent of PAR-T INTERNATIONAL, resell, transfer (for commercial or personal gain) or distribute any Package Passes for an Experience (above their face value), or purchase or obtain Package Passes from or through any commercial agent or company other than PAR-T INTERNATIONAL or an Authorized Agent.
5.2 Package Passes may not be used for advertising, promotion, trade incentives or other commercial purposes including, but not limited to, raffles, contests, sweepstakes, prizes, lotteries or draws to enhance the demand for other goods and services or packaged with hospitality or other products without the express written consent of PAR-T INTERNATIONAL, which may attach any conditions it sees fit. Such consent may be withheld at PAR-T INTERNATIONAL’s sole and absolute discretion.
5.3 Any Package Passes purchased, sold, or used in contravention of these Patron Terms and Conditions will be deemed void and may result in the following:
(a) denial of entry to the Venue;
(b) eviction from the Venue;
(d) cancellation of Package Passes with no refund; and/or
(e) legal action.
6. SEAT ARRANGEMENTS AND VIEWING FOR EXPERIENCES
PAR-T INTERNATIONAL reserves the right to determine at any time, with or without
notice, all seating arrangements (where applicable), viewing areas and other conveniences and attractions in relation to any particular Experience. Each Patron must
not place any reliance on Venue images published online or any other impressions, as they are provided only as an approximate guide to indicate examples of the layout of any seating arrangements, viewing areas and other conveniences and attractions.
7. PACKAGE SALES AND FULFILMENT FOR EXPERIENCES
7.1 Package Passes for Experiences may only be purchased from PAR-T INTERNATIONAL or Authorized Agents.
7.2 Packages Passes will be sold on a first come, – first served basis, subject to availability.
7.3 For all Experiences, full payment (including any applicable booking/administration fee and value-added tax) is required at the time of booking. If insufficient funds are available or if payment cannot be completed in full, the transaction will not be
completed and will be voided.
7.4 For certain Experiences, PAR-T INTERNATIONAL may specify a maximum number of Package Passes that can be purchased by any one individual.
7.5 Concession prices (if any) will only be available to those classes of persons whom PAR-T INTERNATIONAL officially publishes as being eligible for the concession price.
Identification and/or evidence of qualification for the concession price must be produced when purchasing Package(s) and when entering the Venue.
7.6 Unless specifically stated, Package Passes prices do not include any goods or any services other than entry to the Venue and/or attendance at the particular Experience.
8. REFUNDS, EXCHANGES, AND REPLACEMENTS
8.1 Except as provided in Clause 8.2 below, Package Passes cannot be refunded or exchanged after purchase (except for a Package Pass of greater value, subject to availability) under any circumstances, including:
(a) the appearance or non-appearance of any particular person, group, act, event, activity, or team expected by the Patron(s), whether or not such appearance or non-appearance was advertised or made known prior to the Experience;
(b) variations in the Experience programme, attractions or conveniences;
(c) any circumstances beyond the reasonable control of PAR-T INTERNATIONAL, including but not limited to adverse weather conditions, pandemics, natural disasters, acts of God, acts of government or state (including any period of declared national mourning or holiday for the Emirate of Abu Dhabi), act of any third party that is out of the control of PAR-T INTERNATIONAL, war, terrorism, civil commotion or insurrection, or labour disputes of whatever nature;
(d)a change in a Patron’s personal circumstances or
(e) the inability or failure of a Patron to enter the United Arab Emirates or the Emirate of Abu Dhabi due to his or her inability to obtain (or his or her denial, cancellation, expiration or revocation of) an entry visa or permit for any reason
whatsoever.
8.2 PAR-T INTERNATIONAL may (at its absolute discretion) refund the face value of the Package Pass to the original purchaser if:
(a) The experience is cancelled in its entirety and cannot be re-scheduled; or
(b) the dates of the Experience are changed after they have been confirmed, and the relevant Patron has confirmed in writing to PAR-T INTERNATIONAL that they do not wish to attend the Experience on the re-scheduled dates; or
(c) the Patron is entitled to a refund by virtue of the operation of applicable law.
8.3 PAR-T INTERNATIONAL is not obliged to replace Package Passes under any circumstances.
8.4 For the avoidance of doubt, in respect of a Package Pass for which monetary consideration has not been paid, no refund or other costs will be paid or payable to the holder of such Package Pass pursuant to Clause 8. Furthermore, PAR-T INTERNATIONAL will not be liable to the holder of such Package Pass for any loss or damage, whether direct or indirect, suffered as a result of the Experience (or any part thereof) being cancelled, postponed, or changed.
8.5 PAR-T INTERNATIONAL accepts no responsibility for stolen or counterfeit Package Passes purchased or obtained through unauthorised sources. Patrons who are found to be in possession of Package Passes that are counterfeit or have been reported as stolen will be denied entry or expelled from the Venue and may be liable to legal action.
9. SECURITY, CONDUCT AND ATTENDANCE
9.1 By purchasing a Package Pass, each Patron agrees to comply with:
(a) all conditions of entrance and any terms of use maintained by the Venue;
(b) these Patron Terms and Conditions;
(c) the security arrangements, notices or announcements displayed or given by the Police or agents representing any of the Associated Entities, including, without limitation, all directions or notices relating to access and security at the Experience;
(d) all laws and regulations of the United Arab Emirates;
(e) requests of the Police or
(f) requests of PAR-T INTERNATIONAL or agents of PAR-T INTERNATIONAL or any of the Associated Entities regarding the activities of PAR-T INTERNATIONAL, the Experiences and/or the use or occupancy of the Venue and its facilities.
9.2 For security and safety reasons, PAR-T INTERNATIONAL reserves the right to inspect any possessions or persons entering the Venue. PAR-T INTERNATIONAL also reserves the right to refuse bags and/or other items being brought into the Venue
and, with reasonable cause, to refuse entry to any Patron or remove any Patron from the Venue. Any consent given by PAR-T INTERNATIONAL or anyone duly authorized on its behalf (each an “Authorized Representative”) may be revoked by PAR-T INTERNATIONAL at any time. If such consent is withdrawn, the Patron must immediately remove or hand to PAR-T INTERNATIONAL or the Authorized Representative the offending article or immediately leave the Venue through the nearest exit, as directed by PAR-T INTERNATIONAL or its Authorized
Representative.
9.3 Each Patron must not, without the prior consent of PAR-T INTERNATIONAL, have in their possession or bring into the Venue any of the following items:
(a) unless purchased at the Venue, any alcohol, food, other beverages, glass bottle
or container, any flag or banner, chairs, benches, stools, and cooler box or hamper or helium balloons;
(b) pets or animals;
(c) any item that could be used as a missile, weapon, or firearm (or any imitation thereof);
(d) drones, scooters, skateboards and roller blades/skates, fireworks, laser pointers, frisbees, prams and strollers, musical instruments and/or amplification
equipment, including public address systems, distress signals, whistles, loud
hailers, horn or bugle, electronic equipment, or other broadcast equipment;
(e) any other item for which a Patron does not, in the opinion of PAR-T INTERNATIONAL, have an ordinary and reasonable use and which may be used to damage or deface property, buildings or any part of the Venue and surrounding areas, hinder, obstruct or interrupt an Experience or adversely affect public safety; and
(f) any other item prohibited by applicable law or under Clause 9.1(a).
9.4 PAR-T INTERNATIONAL and the Associated Entities, and each of them, shall not be liable for lost or damaged property brought by Patron(s) into the Venue.
9.5 Each Patron agrees to compensate PAR-T INTERNATIONAL and/or the Associated Entities for any damage, loss, liability or injury that they suffer or may suffer as a result of the Patron(s)’ failure to comply with these Patron Terms and Conditions or the wilful, reckless or negligent acts or omissions of the Patron, or any person with the Patron’s care, guidance or supervision, within the Venue or about an Experience.
9.6 Each Patron must not do without the prior written consent of PAR-T INTERNATIONAL:
(a) be in the Venue;
(b) remain at the Venue outside the published closing times;
(c) leave the Venue and/or an Experience other than through a designated exit;
(d) post, stick or place any poster, placard, bill, banner print, paper or any advertising material on any building, structure, fence, tree or cordon;
(e) distribute any printed or visual matter or distribute, display, or promote any advertising or promotional material, samples of goods or services or any other
matter or thing;
(f) distribute, hawk, sell, offer, or expose for sale any goods or services of collect money or orders for goods and services;
(g) sell, offer, or make available for sale, or give away any Package Pass;
(h) misuse, deface, damage, or tamper with any building, seat, chair, table, structure, vehicle, vessel, truck, pipe, tap, tap-fitting, conduit, electrical equipment, wiring, or sign;
(i) deposit litter, except in a receptacle provided for that purpose;
(j) disrupt, interrupt, or behave in any manner that may disrupt or interrupt any Experience or activity;
(k) act or conduct oneself in such a way as to hinder, obstruct or interfere with an Experience participant or to adversely affect the safety of the public;
(l) deliberately cause unreasonable annoyance to any other Patron(s), official or employee or contractor of PAR-T INTERNATIONAL or any of the Associated Entities, or interfere with the comfort of any Patron(s) or their enjoyment of an Experience;
(m) use indecent or obscene language or threatening or insulting words or otherwise behave in a threatening, abusive, riotous, indecent, or insulting manner;
(n) interfere with, obstruct, or hinder an Authorized Representative in the exercise of his or her powers, functions or duties;
(o) conduct public surveys or opinion polls; solicit money, donations, or subscriptions from members of the public;
(p) busk or conduct entertainment;
(q) consume or carry alcohol in a designated no-alcohol area;
(r) smoke in a designated no-smoking area; or
(s) make, create, store, record or transmit any form of visual footage, audio-visual footage, sound recording, information, or other data of, at or in relation to any Experience.
10. VENUE ACCESS
10.1 Each Patron is only permitted to access the open areas of the Venue and must not enter any of the restricted areas designated by PAR-T INTERNATIONAL or any of the
Associated Entities.
10.2 After entry to the Venue has been granted to a Patron on a particular Experience day,
Package Passes are non-transferable for that Experience day. Each Patron must always be in possession of a valid Package Pass. No person will be admitted to the Venue for an Experience without a Package Pass. PAR-T INTERNATIONAL reserves the right to refuse entry to a person for an Experience who is not in possession of a valid Package Pass and may ask that person to leave the Venue. PAR-T INTERNATIONAL reserves the right to charge a fee for the replacement of Package Passes. PAR-T INTERNATIONAL reserves the right not to replace Package Passes that are stolen,
counterfeit, damaged or unreadable.
11. ALTERATIONS TO EXPERIENCES
PAR-T INTERNATIONAL reserves the right, without notice, to add, withdraw, reschedule, or substitute any particular person, group, act, team or personality from an Experience, to amend Package Pass prices, seating arrangements and audience capacity whether advertised or not and whether expected to be in the Experience or not. PART INTERNATIONAL is not liable to Patrons for any changes in the participants or format of, or any other element of an Experience arising from the arrangement of a substitute Experience. PAR-T INTERNATIONAL is not responsible or liable to Patrons for any loss or damage, whether direct or indirect, that is incurred as a result of an Experience (or any part of an Experience) being cancelled, postponed or changed. PAR-T INTERNATIONAL provides no warranty, guarantee, or promise of any nature regarding the date and time of a particular Experience and cannot warrant, guarantee, or promise that an Experience will not be cancelled, postponed, or changed.
12. PHOTOGRAPHS, IMAGES & RECORDING AND THE COLLECTION OF INFORMATION
12.1 For the purposes of this Clause 12, “Recordings” means any kind of sound recording, visual footage or audio-visual footage, “Image” means any image, including photographic images and any still pictures derived or capable of being derived from a Recording, and “Recording Equipment” means any equipment that may enable a Patron to make, create, store, record, reproduce or transmit any kind of Recording or Image.
12.2 Unless authorized in advance by PAR-T INTERNATIONAL in writing, each Patron must not bring into or use within the Venue any professional Recording Equipment or any Recording Equipment deemed unacceptable by PAR-T INTERNATIONAL in its absolute discretion having regard to the purposes of this Clause 12. Subject to Clause 12.3, personal electronic devices (including still image cameras, mobile telephones and other personal communications and handheld devices) are permitted within the Venue unless otherwise advised.
12.3 Patrons must not make, create, store, record, transmit, reproduce, broadcast, stream, use, sell, licence or otherwise deal in any Recordings and/or Images made within the Venue of, at or in relation to an Experience except:
(a) where such is for the private enjoyment of the Patron; or
(b) where the Patron has obtained the prior written consent of the relevant Associated Entity.
12.4 By attending any Experience, entering into and/or remaining at the Venue, each Patron hereby assigns for no fee all intellectual property in any Recordings and/or Images made at or in relation to an Experience to such Associated Entity, and such Patron agrees to waive or where waiver is not possible, to not enforce any moral rights which such Patron has in such Recordings or Images to the maximum extent permitted by applicable law.
12.5 The Associated Entities have the right to admit any authorised photographers into the Venue for photography and/or video recordings for future advertising and promotional purposes without any requirement for permission from any Patron whatsoever.
12.6 PAR-T INTERNATIONAL will collect and process any Patron personal information pursuant to applicable law.
12.7 Each Patron acknowledges that PAR-T INTERNATIONAL and third parties authorized by PAR-T INTERNATIONAL may make Recordings within the Venue, and such Recordings may include the images and/or voices of the Patron(s). Each Patron hereby grants each of the Associated Entities and third parties authorised by them permission to make, reproduce, broadcast, stream, use, sell, licence or otherwise dea in a recording of the Patron(s) in any media, worldwide and for any purpose without identification, compensation or payment of any kind.
13. MISCELLANEOUS
13.1 Amendments or variations of these Patron Terms and Conditions are only valid and binding if made or confirmed by PAR-T INTERNATIONAL in writing which includes the publication of a notice on the Website.
13.2 Each of the provisions of these Patron Terms and Conditions is severable from the other(s). If any provision or part of a provision is or becomes invalid, unenforceable, or illegal in any respect, such provision or part of such provision will, to the extent that the term is invalid, be deemed not to form part of these Patron Terms and Conditions. The remaining provisions or parts of such provisions will not be invalidated in any way.
13.3 These Patron Terms and Conditions are governed by and construed, performed, and enforced in all respects in accordance with the laws of the Emirate of Abu Dhabi and the Federal laws of the United Arab Emirates, without giving effect to the principals of conflicts of laws or choice of law provisions therein. Each Patron hereby submits to the exclusive jurisdiction of the Abu Dhabi Courts.
